               1. Loan agreement between NOFA and NOMMA for use of the $3.6M from the Louisiana Economic

                    Development (LED) Federal City Megafund.

               2. Internal lease documents between NOMMA related entities.

               3. Lease agreement for the Federal city Auditorium.

               4. Consideration of a Resolution authorizing and approving the New     Market Tax Credit transactions, and other  matters in connection therewith.

               5. Consideration of a Resolution authorizing and approving the borrowing of bond proceeds from the Louisiana Local Government Environmental Facilities and Community Development Authority (LCDA), and other matters in connection therewith.
